Before commencing arbitration or court proceedings, the party raising a dispute shall provide the other party with written notice describing the nature of the dispute, the relevant facts and the relief sought. The parties shall attempt in good faith to resolve the dispute through informal discussions and negotiations for a period of sixty (60) days from the date the written notice is received. The parties may mutually agree to extend this period if they believe additional time may reasonably facilitate resolution. Nothing in this Section prevents either party from seeking urgent or interim relief from a court of competent jurisdiction where such relief is reasonably necessary to protect intellectual property, confidential information, data, security, or other rights pending resolution of the dispute. If the dispute is not resolved within the sixty (60)-day informal resolution period, the dispute shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by one (1) mutually appointed arbitrator. If the parties are unable to mutually agree upon the arbitrator within the period permitted under applicable law, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996.The seat of arbitration shall be Pune, Maharashtra, India. The venue of any physical hearing shall ordinarily be Pune, Maharashtra, India, unless the parties mutually agree to conduct hearings remotely or at another location. The designation of Pune as the seat of arbitration is intended to establish the juridical seat of the arbitration and shall not prevent the arbitral tribunal from conducting procedural meetings, hearings or other activities remotely or at another location where appropriate. The language of the arbitration, including pleadings, written submissions, hearings and the arbitral award, shall be English, unless the parties mutually agree otherwise. Subject to the arbitration provisions above, the courts having competent jurisdiction in Pune, Maharashtra, India shall have jurisdiction over matters relating to the arbitration, including applications for interim or protective relief, appointment or replacement of an arbitrator where required by applicable law, challenges or appeals permitted under applicable law, and enforcement of any arbitral award. Nothing in these Terms shall prevent either party from seeking relief from any other court where applicable law requires or permits such relief to be sought in that jurisdiction. Nothing in these Terms is intended to exclude, restrict or limit any rights, remedies, protections or causes of action that cannot lawfully be excluded or limited under applicable law. In particular, where mandatory consumer-protection, data-protection or other applicable laws grant a customer rights that cannot be waived by contract, those rights shall continue to apply to the extent required by law.
